What does today’s announcement mean?

今天的聲明意味著？

As a result of entering into an agreement to acquire Mr Fiszman’s 16.1%
shareholding, KSE, UK, INC. (“KSE”) is now required to make an Offer for
all the outstanding shares in Arsenal Holdings PLC (“Arsenal”). As set out
in the press announcement, Lady Nina Bracewell-Smith(together with the
Independent Directors who hold Arsenal shares) have irrevocably agreed to
accept the Offer. The press announcement sets out the terms and the
background to the Offer.

根據今天達成的協議，克倫克體育投資公司（KSE）購入菲茲曼先生持有的阿森納控股公
共有限公司（Arsenal）16.1%的股份。並將對外宣佈，尼娜·布魯斯威爾-史密斯女士（

What impact will this have on the running of the Club?

Mr Kroenke has given a number of confirmations to the Board including how he
proposes to finance the Offer. These confirmations, which are outlined in
full in the press announcement, include a confirmation that no debt finance
is being secured against Arsenal as part of the Offer and we will continue to
follow the self-sustaining business model that we have successfully operated
under. KSE has asked the current Board to remain in place. This includes Mr
Peter Hill-Wood as Chairman.

The Independent Directors have considered the Offer and have taken financial
advice from Rothschild. They believe that it will provide continued stability
from an individual who understands, respects and will cherish the history and
traditions of Arsenal and who has a proven track record of successful
long-term investment in sport. In light of the confirmations provided by KSE
as well as the Offer price the Independent Directors consider the Offer to be
fair and reasonable.

The Manager’s contract, which runs to 2014, is not affected. Mr Kroenke is
fully supportive of Arsène Wenger whom he has stated is a wonderful manager.

It is KSE’s intention that the business will continue to be run along
existing self-sustaining lines.

How much of the Club does KSE now own?

As of today’s announcement KSE owns approximately 29.9% of Arsenal shares.
However, KSE has entered into option agreement with Mr Fiszman whereby he can
acquire Mr Fiszman’s shares. In addition Lady Bracewell-Smith and other
Arsenal Directors have undertaken to accept the offer. All together this
means that KSE has an interest in approximately 63% of the issued share
capital of Arsenal.
