和airball聊了許久，也讓我回家重新把各檔基金看了一下,

剛剛，有個農機所同學丟給我他女友在美國留學的題目，
一堆經過大陸生與越南生討論，都解不出的難題。
第一時間，我就想到台灣人的各位一定比外國人強。^^;
有哪位仁人志士，有興趣的話，還請不吝賜教。
這讓我想到以前大學經濟學的英文問題，每次都亂寫.
題目如下：

Euro-Loan: In considering an unsecured syndicated, term Euroloan
made to a large parastatal corporation for working capital purposes,
discuss the following:
a) Three basic structural or documentation differences (and the
legal significance thereof) between such a credit and a typical
bilateral corporate/commercial loan;
b) Three basic lender risks that may arise in an international
credit not arising in a domestic corporate credit and how these might
affect the loan agreement;
c) The posture you might take as borrower counsel in negotiating the
"negative pledge clause"; and
d) Identify three main concerns you might have if you are an
Agent Bank
and how would you propose
addresses these concerns through the loan
agreement.
2. EuroBond: Global Plc is proposing to make an issue of
Eurobonds for the first time. As its legal adviser, you are
requested to advise Global Plc on the following matters":
i) what are the roles and legal responsibilities of the various
financial intermediaries in a Eurobond offering;
ii) whether and why a trustee should be used and the alternative to
having a trustee;
iii) whether Global will have to give any representations and
warranties in the documentation, either initially or during the life
of the issue, and how this might compare with the position under a
syndicated loan facility, and
iv) the meaning and effectiveness of a "no action" clause.
3. Project Finance: International finance is becoming increasingly
geared to
"structured" forms of financial transactions. Consider four
basic "risks" or legal concerns in project finance and how law,
structure and documentation might be used to help resolve, alleviate
or allocate such risks or concerns.
