JOB TITLE: Legal Counsel
REPORTING LINE:
Reports to: Branch Manager / General Counsel Asia
Backup for: Compliance Officer
JOB DESCRIPTION:
The legal officer is to be responsible for managing and providing legal
guidance and counsel to the bank in all legal matters pertaining to
contracts and agreements, litigation matters, general corporate governance,
drafting of commercial contracts such as guarantees, contractual agreements,
termsheets, and employment contracts.
DETAILED RESPONSIBILITIES:
1. Covers all legal documentation and legal issues for General Banking and
Corporate Finance work
· Ensures that all external documents and contracts adhere to the local laws
and/or banking regulations before allowing the use of the Bank’s registered
chops or signing by the Branch Manager
· Prepares and/or reviews all contracts to be signed with clients, such as
facility letters, syndicated agreements, guarantees, master agreements (eg.
ISDA, SDMA etc), employment contracts, drafting of bank policies where legal
opinion is required;
· Ensure that all rules and regulations, terms and conditions, disclaimers
on forms and termsheets are duly reviewed and authorised before being sent to
clients or third parties.
2. Liaison with and managing the use of external counsel
· Prepares and/or reviews standard legal documents by, whenever necessary,
seeking external legal consultants’ advices and/or checking market practices;
· Follows up on all litigation proceedings and to advise Management on the
proper course of action to be taken;
3. Assist the Compliance Officer in Compliance related work.
4. Provides general support to the Regional Capital Markets department
5. Provides general support to all departments in all legal affairs
6. Management of legal documentation of the bank
· In-charge of all legal and regulatory submission of the bank such as the
application or renewal of banking licence, Management appointments, Power of
Attorney, etc. ;
