應依台灣桃園地方法院為第一審管轄法院，

應該要如何轉成英文..

This Agreement shall be interpreted in accordance with and governed by
the laws of the law of the Republic of China regardless of any choice of law
principles to the contrary

 AND Taiwan Taoyuan District Court shall be determent to hold trial court.

請前輩門幫忙看看這句可不可以．

PS:法律英文真是很要命
