謝謝各位就非專屬授權契約中(權利金計算)，所提供的寶貴資訊。

1.  XYZ will pay royalties to ABC on ROYALTY-BEARING PRODUCTS at the
rate of two percent (2%) of the NET SELLING PRICE of all such PRODUCTS
sold or otherwise disposed of subsequent to the EFFECTIVE DATE of this
Agreement and prior to the expiration of the five-year period beginning
on the EFFECTIVE DATE of this Agreement.

2.In case the royalties otherwise payable to ABC under this Agreement
fail to aggregate a minimum of ten thousand U.S. dollars ($10,000) for
each calendar year during the life of this Agreement, XYZ will, within
thirty (30) days of the end of the year in which the failure occurs,
pay ABC such additional sum as may be necessary to bring the payment
for such year up to ten thousand dollars ($10,000).11 Failure to pay
any necessary additional sum will be a material breach of this Agreement.

我整理如下：
1.在契約有效期間，被授權公司XYZ要付五年的權利金(按照淨銷售額2%)，
2.若所支付的權利金沒有達到10,000，則需要在年底補足。
<五年的這部份我不太確定是指契約生效日起算五年，還是在契約期間的任意五年??>

在契約的(授權範圍)，有寫到:
The term of the license as to each LICENSED PATENT shall be for the
full life of the patent
契約期間是自生效日至專利權期間屆滿為止。


那如果增加以下的情形，締約人雙方要如何對契約作修改及調整？謝謝!!

1.授權公司(ABC)或是被授權公司(XYZ)缺錢;

2.如果這個產品，未來只打算做3年;

3.授權公司(ABC)或是被授權公司(XYZ)想要擴張。
