標題[打屁] 吐血的東西

由於本人在貿易公司上班
有興趣的人 或是想了解的人
我會在某天幫某人代班時 在跟大家分享
今天 來了一張訂單
但是有一堆條款要看 真的是會吐血了
還有翻譯給經理看 真不知道 到底是誰要做決策阿
我今天弄了一個下午 煩死了
有空的人 可以來看看 看有哪些不合理的
不想看的人 可以按end....總共有24點啦
不過我就先貼幾點 有興趣的人我再傳給他囉
1. The Purchase Order (this "Order") is expressly conditioned on acceptance
by Seller of these Terms and Conditions. Oral or written notice of acceptance
by Seller, preparation to perform by Seller and/or shipment of all or any
part of the merchandise described above shall constitute acceptance by
Seller, preparation to perform by Seller and/or shipment of all or any part
of the merchandise described above shall constitute acceptance by Seller of
these Terms and Conditions. If this Order is transmitted by facsimile or by
other means of electronic transmission, such transmission shall have the
legal significance of a duly executed original delivered to Seller.
2. This Order is and shall be subject to the terms herein stated and those on
the reverse side hereof, all of which are hereby accepted by Seller.
3. This Order constitutes an offer by Lillian Vernon Corporation ("Buyer") to
the supplier to whom this Order is issued ("Seller") to purchase the
articles, materials, services or equipment covered by this Order (the
"Merchandise") exclusively upon the terms and conditions of purchase set
forth below.
4. This Order, our Invoice Terms and our Vendor Information Manual set forth
all the terms and conditions of the sale and purchase of the Merchandise.
None of the terms and conditions contained in this Order (including, but not
limited to,pricing) may be added to, modified, superseded or otherwise
altered except by a written instrument signed by an authorized representative
of Buyer and each shipment received by Buyer from Seller shall be deemed to
be only upon the terms and conditions as set forth in this Order, except as
they may be added to, modified, superseded or otherwise altered in accordance
with the terms and conditions of this paragraph, notwithstanding any terms
and conditions that may be contained in any acknowledgement, invoice or other
form of Seller and notwithstanding Buyer's act of accepting or paying for any
shipment or similar act of Buyer.
5. Buyer reserves the right to cancel this Order or any part thereof, or
terminate this Order, until 10 days before shipping date. Buyer's sole
responsibility to Seller on cancellation shall be to pay the agreed price for
Merchandise that has been delivered and accepted through the effective date
of cancellation with no allowance for any overhead or anticipatory profit of
Seller.
