有個採購合約要回簽~但以下幾條看得不是很懂,可以請各位大大協助翻譯~

1.3 Supplier shall offer BIG(COMPANY) the lowest prices and most favorable terms net of any discounts or rebates that it affords or intends to afford to its other customers for similar product regardless of quantity purchased. In the event Supplier fails to sell Product to BIG(COMPANY) at the lowest prices and most favorable terms permitted by law, BIG(COMPANY) shall be entitled to:
(a) with respect to any Product that BIG(COMPANY) has received, but has not paid for, a reduction in the purchase price and;
(b) with respect to any Product paid for by BIG(COMPANY) either by (i) a purchase price credit or at BIG(COMPANY)’s option (ii) an offset against future obligations.
2.4 Title and risk of loss, damage or destruction of the Products shall pass from the Supplier to BIG(COMPANY) upon acceptance of delivery of the Products by the carrier designated by BIG(COMPANY).
3.1 Supplier shall invoice BIG(COMPANY) after BIG(COMPANY) confirms the receiving and inspecting procedure of Product. BIG(COMPANY) shall pay to Supplier the invoice amount of each shipment of Product in within 90 days started from the beginning of next month after receiving the invoice.
12.1 Survival of Provisions
All indemnification, confidentiality or other provisions which by their terms are to be performed or complied with subsequent to the expiration or other termination of this Agreement, shall survive such expiration or other termination.
12.5 Waiver of Default
No waiver of any default hereunder by either party or any failure to enforce any rights hereunder shall be deemed to constitute a waiver of any subsequent default with respect to the same or any other provision hereof. No waiver shall be effective unless made in writing with specific reference to the relevant provision(s) of this Agreement and signed by a duly authorized representative of the party granting the waiver.
