Sir Jim Ratcliffe's last-minute bid for Chelsea FC has received serious
consideration in the race to buy the Stamford Bridge club, the PA news
agency understands.
Todd Boehly's consortium is understood to remain on course to be confirmed
as the preferred bidder and then handed the opportunity to seal a Stamford
Bridge takeover.
Stamford Bridge bosses had not expected Ratcliffe to make such a late,
dramatic entrance into the race however, with the British tycoon
understood to have met with Blues chairman Bruce Buck on Thursday.

Pagliuca's plans for renovating Stamford Bridge lacked a clear roadmap and
no written confirmation of if/how he planned to scale back Atalanta was
provided. A public statement reaffirming his commitment only provided more
questions.
Broughton's bid required partial funding via loans. This counted against
the bid in a decision based on fine margins. The “celebritizion” (as one
Raine source put it) of the bid wasn't well received either and was seen
as a move to turn the sale into a popularity contest.

But above all else, Boehly's bid just stood out. One of the reasons why is
because, in each area suitors were asked to focus on, the group provided
real experts.
The bid is a collective effort with Clearlake the majority owner but a
range of impressive voices inputting. Behdad Eghbali is pretty hands on
and engaged. He's a big football fan also. But Boehly, as minority owner,
plans to assume day to day control.
Jonny Goldstein (and the support of David Hickey) really impressed
Chelsea. As previously reported, the Boehly group always had the strongest
and most detailed plans for the redevelopment of Stamford Bridge. They
have been confident for weeks of winning.

Jim Ratcliffe's last-minute £4.25bn bid took Boehly, and the two failed
suitors, by surprise. Ratcliffe initially expressed interest in March but
then decided not to formally bid. Last week he then saw a window of
opportunity as the sale dragged on.
Interestingly, sources tell me Ratcliffe bypassed Raine, and by dealing
directly with Chelsea was confident in entering the race. He has not to
date been told his bid is too late. But Chelsea will prioritise Boehly
meaning Ratcliffe has a lot out of his control.
Two other points which are key: Ratcliffe bid isn't astronomically higher
than Boehly's since price includes charitable donation. And Ratcliffe,
like Pagliuca with Atalanta, must address ownership of Nice. That makes
completing a CFC sale in days (as he says he can) unlikely.

Ratcliffe's offer clearly puts pressure on Boehly to wrap up l sale
quickly. And it's clear Chelsea and Abramovich (who failed to agree a
price with Ratcliffe in 2019) are open to abandoning the formal sale
process and considering 'rogue' bids if it doesn't work out with Boehly.
But to again reiterate, Boehly is the preferred bidder and the group is
confident that Ratcliffe's offer won't affect anything. They have always
said, if selected, they see no reason why they can't complete the sale
before Chelsea's special license expires on May 31.

Sources close to the consortium, which is spearheaded by Todd Boehly, the
LA Dodgers part-owner, said it had offered a total price that was slightly
higher than the £4.25bn publicly pledged by Sir Jim Ratcliffe, the
chemicals tycoon who tried to gatecrash the auction on Friday.
An insider suggested that Sir Jim and his Ineos group would need to table
a substantially higher offer in order to persuade Mr Abramovich and his
advisers to stand a chance of entering negotiations about a deal.
The Premier League is said to be "advanced" in its scrutiny of the
Clearlake consortium under its Owners And Directors Test, with questions
now submitted to the group relating to the final financial structure of
the takeover and the precise stakes that would be owned by each of the
investors.
Mr Boehly's bid would see voting rights shared equally between him and
California-based Clearlake. Clearlake, which has no direct ownership
pedigree in major sports assets, would own a majority of the shares in
Chelsea, Sky News revealed last week.
One person close to the process said it was likely that two separate
licences would ultimately be issued by the government: one to implement
the transaction itself, and the other to release the proceeds of the sale.

Chelsea Supporters' Trust confirm they have held talks with Sir Jim
Ratcliffe and his team but say no further meeting scheduled. Dom Rosso,
CST vice-chair, said: “While the CST has had initial talks with Sir Jim
Ratcliffe and his team, no further meeting is yet in the diary.”
It seems Ratcliffe is trying to position himself in case there is an
11th-hour hitch during the exclusivity period with the Boehly bid or if
Chelsea have a dramatic late change of heart.
This all seems very dramatic but I am told that at least one of the other
two consortiums remain on standby in case the Boehly bid breaks down,
which you would expect given all the work they put in.

If Boehly's bid somehow collapses, there's expectations from both
Broughton and Pagliuca that they get brought back in. This is instead of
Sir Jim Ratfcliffe who has circumvented Raine's structured process with a

The sale of Chelsea has hit a serious obstacle over fears that
Russian-born owner Roman Abramovich is attempting to renege on his promise
to write off a £1.6 billion debt.
It is understood that Chelsea told the government — as well as the rival
bidding groups — last week that they want to restructure the way the club
is being sold, which would include paying off the debt from Chelsea's
parent company Fordstam Ltd to a Jersey-based company Camberley
International Investments, which appears to be linked to Abramovich.
Government insiders are increasingly concerned about whether the deal will

reporting, then Chelsea have a huge existential problem. UK Govt have
always insisted this can't/won't happen.
Clock is ticking on May 31st deadline but it's more serious than a complex
delay. The Premier League meet on June 8th to constitute the new league
for 22-23. If Chelsea aren't licensed to operate by then - and they are
only licensed now on UK Govt sufferance - then they can't be part of PL.

by 'Brexit-style backstop' to solve loan impasse
Sources close to Chelsea owner Roman Abramovich say it was never his
intention to leave the government with the impression he wanted to repay
the loan to himself but the dispute seems to surround whether the UK can
legally freeze the loan.
It was suggested a change in approach may have been triggered by
authorities in Jersey swooping two weeks ago to target Camberley
International Investments, an offshore account which is believed to be
linked to Abramovich.
The Premier League has already carried out background checks on Todd
Boehly and would be able to sign off the deal in a matter of days when an
agreement is reached.

Sir Jim Ratcliffe will re-submit his Chelsea bid if Todd Boehly doesn't
complete his takeover in the period of exclusivity - despite being told to
"forget it" by Raine.
Worth adding the Boehly group are progressing step by step and the
expectation remains they will complete. Ratcliffe chances rest on
something going wrong or Chelsea performing a big U-turn and even then he
might not get into the process. Pagliuca and Broughton bids on standby.

The Ratcliffe bid can't force their way into the process solely by
criticising Clearlake or other aspects of their 'rival' bid. Clearlake as
majority owner was always Boehly and Wyss' plan. They see value in
minority ownership.
There is clearly a broader debate to be had over private equity firms
owning clubs. But Clearlake have made a commitment until at least 2032 so
can hardly be accused of entering with short-term goals. Behdad Eghbali is
going to be highly engaged if the group is successful.

They were dismayed to be told last week that Abramovich now wanted to
restructure the purchase agreement, with a requirement for Chelsea's
parent company, Fordstam, to pay off the debt held in trust at the
Jersey-based Camberley. But sources close to the process have told The
Times that the sale can be completed with no money being paid to Camberley
until the government is satisfied none of the £1.6 billion will go to
Abramovich or his beneficiaries.
Instead, more than £2.5 billion for the purchase of the club will be paid
to the government, allowing ministers to donate £1 billion to the Ukraine
crisis. The remainder will be held until other issues with the trust are
resolved.
Both the Boehly group and Chelsea were confident on Wednesday night of the
government issuing a licence for the completion of the sale, even though a
solution to the loan problem has not been found.

Boehly-Clearlake takeover of Chelsea is now very close to completion.
Raine sources tell me Wednesday talks were “highly productive and no
alternative options are being explored.”Sources within Boehly-Clearlake
say they've remained “calm” and are confident they will own CFC.
The handling of Abramovich's 1.6bn in loans has provided some late drama.
Boehly-Clearlake bid initially presumed a debt-free purchase. If funds
covering debt are frozen by the government then 1.6bn will remain in limbo
for now. That will be enough to complete a sale by May 31.
This plan doesn't fully resolve the debt (the original hope). But it does
suspend it and allow a sale to go through. It will be interesting to see
what happens if/when sanctions against Abramovich are lifted.
Boehly-Clearlake, like Broughton, were never prepared to engage (or pay)
Camberley. The main reason is because they couldn't do any due diligence
and be sure who the money would go to.
