Following speculation in media in relation to the sale of Chelsea FC, we
would like to clarify the following points...

Firstly, Mr Abramovich's intentions in relation to gifting the proceeds
from the Chelsea sale to charity have not changed.

Since the initial announcement, Mr Abramovich's team has identified senior
representatives from UN bodies and large global charitable organizations
who have been tasked with forming a Foundation and setting out a plan for
its activities. The lead independent expert has had conversations with
Government representatives presenting the structure and initial plans.

Mr Abramovich has not been involved in this work and it has been managed

Secondly, Mr Abramovich has not asked for any loan to be repaid to him –
such suggestions are entirely false – as are suggestions that
Mr Abramovich increased the price of the Club last minute. As part of
Mr Abramovich's objective to find a good custodian for Chelsea FC, he has
however encouraged each bidder throughout this process to commit investing
in the Club – including in the Academy, Women's team, necessary
redevelopment of the stadium as well as maintaining the work of Chelsea
Foundation.

Following sanctions and other restrictions imposed on Mr Abramovich by the
UK since announcing that the Club would be sold, the loan has also become
subject to EU sanctions, requiring additional approvals. That means that
the funds will be frozen and subject to a legal procedure governed by
authorities. These funds are still earmarked for the Foundation. The
Government are aware of these restrictions as well as the legal
implications.

自宣佈出售俱樂部以來，英國政府對阿布拉莫維奇先生實施了制裁和其他限制，這筆

To be clear, Mr Abramovich has no access or control of these funds and
will not have any access or control of these funds following the sale.
Despite the changing circumstances since his initial announcement – he
remains committed to finding a good custodian for Chelsea FC and making
sure the proceeds go to good causes.

The Glazer family's ￡790m takeover of Manchester United saddled the club
with expensive debt known as payment-in-kind notes, and provided a focal
point for fan protests, which escalated in the wake of Sir Alex Ferguson's
retirement in 2013.


Manchester United was floated on the New York Stock Exchange a decade ago,
with the Glazers having extracted hundreds of millions of pounds in
dividends and from the sale of shares during their ownership.


The series of provisions would, if agreed, represent a bold bet from
Chelsea's new owners - particularly given that Clearlake has a financial
imperative to deliver returns to its investors.

The Premier League is set to approve the proposed ￡4.5 billion takeover
of Chelsea by a consortium led by LA Dodgers co-owner Todd Boehly

Sources close to the Chelsea sale process believe that the majority of

Todd Boehly has signed a purchase agreement to buy Chelsea and will now be
put forward for Government and Premier League approval. This is the most
significant step of the process so far.

Todd Boehly's consortium agreed to a series of 'anti-Glazer' clauses that
should ease any criticisms over the involvement of American investment
firm Clearlake Capital.

These clauses are thought to bar the group from paying dividends or
management fees until 2032, prohibit the sale of any shares of Chelsea for
10 years and place strict limits on the level of debt they could take on.

Chelsea Football Club can confirm that terms have been agreed for a new
ownership group, led by Todd Boehly, Clearlake Capital, Mark Walter and
Hansjoerg Wyss, to acquire the Club.

Of the total investment being made, ￡2.5bn will be applied to purchase
the shares in the Club and such proceeds will be deposited into a frozen
UK bank account with the intention to donate 100% to charitable causes as
confirmed by Roman Abramovich. UK Government approval will be required for
the proceeds to be transferred from the frozen UK bank account.

The gov. will not block the CFC sale if Buck and Granovskaia stay at the
club. DCMS committee chair Julian Knight has said the pair remaining would
be “an unsettling development”. But with neither sanctioned in
conjunction with Abramovich, their departure can't be enforced.

Clearlake-Boehly, like other suitors, expressed a desire to keep both
during bidding process. That's unsurprising since telling key executives
you won't keep them in a job isn't wise when pitching. Preference remains
for Buck & Granovskaia to at least be part of the transition.

From there onwards, their long-term future hasn't been discussed in
significant detail. It's also a two-way conversation since it remains
unclear if Buck or Granovskaia actually want to stay.

The government could only insist on the pair's removal if they could prove
Abramovich could still influence the club through them or receive money.
It's logical some ministers are uncomfortable with their presence and they
could yet depart. These are discussions for coming weeks.

But the point is, should Clearlake-Boehly wish to keep them, there is
really very little the government can do unless they can convince (not
demand) Clearlake-Boehly or prove they are facilitating a benefit to
Abramovich via the club.

Discussions next week will be less about the pair and more about the
specifics of the new Foundation. Abramovich claims government have always
been kept in the loop on it via an independent advisors. Plans are still
developing.

There will also be some talk about what happens if/when sanctions are
lifted against Abramovich. If he suddenly has access to funds, that's
perhaps when any links to him via Chelsea become of more concern.

Chelsea sources also add that Buck and Granovskaia also don't want to
derail any sale. So they have a few weeks to engage with the new owners.
But as previously reported, nothing has been decided yet beyond a desire
to have them remain through a period of transition.

Overall, DCMS & Clearlake-Boehly sources have maintained license approval
is now seen as a formality not a hurdle. The fact the gov. were
comfortable with Chelsea releasing a statement is also a sign the deal
will happen. Just going to take a few weeks and final discussions.

Todd Boehly to hold more talks with Marina Granovskaia and Bruce Buck over
their Chelsea futures with American scheduled to make another trip to
London.

Todd Boehly is expected to reassure Chelsea head coach Thomas Tuchel that
he will receive the support and backing of the club's incoming new owners.

Todd Boehly will become Chelsea's controlling owner when the US magnate's
consortium completes the ￡4.25billion Stamford Bridge club purchase.

Clearlake Capital co-founder Behdad Eghbali will work closely with Boehly
and will be understood to take an active role in major financial decisions.

Boehly's fellow Dodgers co-owner Mark Walter and Swiss billionaire
Hansjorg Wyss will assume more supportive roles in the new Chelsea
ownership structure.

Jonathan Goldstein is also understood to have played a central role in the
Boehly consortium's success in the race to buy Chelsea.

Chairman Bruce Buck and director Marina Granovskaia should retain their
roles once the Chelsea takeover is completed, with the sale remaining on
course to be wrapped up ahead of the May 31 deadline.
