標題[北美] 關於快要IPO的公司的RSU的問題

最近拿到一個startup offer
關於RSU的部分offer letter是這樣寫:
Your RSU grant will be subject to vesting conditions.
The first vesting condition is based on your service where the RSU will
vest at a rate of 12/48 the total number of RSUs after your first 12 months
of continuous service, and 3/48 the total number of RSUs on each 3-month
anniversary of continuous service after that.
The second vesting condition is based on the company and requires that
the company IPO or be acquired in a change of control, in either case,
within 7 years of the grant date. Both vesting conditions must occur
for you to receive the shares.
這樣是說除非公司IPO或是被買走, 否則我什麼都拿不到嗎?
公司目前的valuation超過10B, 應該是一定會IPO, 但是valuation可能太高
萬一因為亂七八糟的因素IPO一直拖然後沒人買, 是不是我什麼都不會拿到?
